Welcome to FabFlow. By accessing or using the FabFlow MRP platform at fabflowpro.com (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Service.
1. Definitions
“FabFlow,” “we,” “us,” or “our” refers to FabFlow Inc. “You” or “Customer” means the individual or entity using the Service. “Shop Data” means all work orders, quotes, inventory records, customer lists, part specifications, time-clock entries, and other content you upload to or generate within the Service.
2. Account Registration
You must provide accurate, complete, and current information when creating an account. You are responsible for safeguarding your login credentials and for all activity under your account. You must notify us immediately of any unauthorized access or breach of security. You may not share your account credentials or allow third parties to access the Service through your account without our prior written consent.
3. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or export controls.
- Infringe upon the intellectual property rights of others.
- Upload malicious code, malware, or attempt to compromise the Service’s security.
- Engage in excessive or abusive usage that degrades the Service for other customers.
- Resell, sublicense, or white-label the Service without a written agreement.
We reserve the right to suspend or terminate accounts that violate these terms.
4. Subscriptions and Payment
FabFlow is offered on a subscription basis. Pricing details are published on our website and may be updated with 30 days’ notice. Subscriptions automatically renew unless cancelled before the renewal date. All fees are non-refundable except as required by law. Late payments may result in suspension of access. You are responsible for all applicable taxes.
5. Intellectual Property
FabFlow and its licensors own all rights, title, and interest in the Service, including all software, algorithms, designs, and documentation. You retain full ownership of your Shop Data. By using the Service, you grant us a limited license to process your Shop Data solely to provide, maintain, and improve the Service. We will not scan your Shop Data for advertising or monetization purposes.
6. Service Availability and SLAs
We strive to maintain 99.9% uptime. Scheduled maintenance is communicated in advance. In the event of an outage, we provide service credits as detailed in your subscription agreement. FabFlow is not liable for downtime caused by factors beyond our reasonable control, including internet outages, force majeure events, or third-party service failures.
7. Limitation of Liability
To the maximum extent permitted by law, FabFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim. The Service is provided “as is” without warranties of any kind, express or implied.
8. Termination
You may cancel your account at any time through the platform settings. Upon cancellation, you may export your Shop Data within 30 days. We may terminate or suspend your account for violation of these Terms, with notice where reasonably possible. Provisions regarding intellectual property, liability, and data handling survive termination.
9. Data Handling
Our handling of your data is governed by our Privacy Policy and Security practices. You represent that you have obtained all necessary consents for the Shop Data you upload.
10. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email and in-app notification at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Delaware.
